Terms of Service

Ranch Route operates a technology marketplace that enables independent producers and sellers ("Producers") to list, market, and sell products and services to Buyers.

Unless expressly identified in writing as the seller of record for a specific transaction, the applicable Producer is the sole seller of record for products purchased through the Platform.

Ranch Route:

• Does not take title to products
• Does not manufacture, process, or store products
• Does not review, verify, or guarantee the accuracy of product labeling or regulatory compliance
• Does not assume responsibility for product safety or quality

All product-related claims must be directed to the applicable Producer.

The Producer is solely responsible for:

• Product manufacturing, handling, and shipping
• Compliance with food safety and agricultural laws
• Labeling accuracy
• Collection and remittance of applicable sales or use taxes (unless marketplace facilitator laws require otherwise)
• Refunds and return obligations

Ranch Route may collect and remit taxes where required by applicable marketplace facilitator laws.

Orders placed through the Platform constitute an offer to purchase from the Producer. Payment processing is handled by third-party payment processors. Ranch Route may collect marketplace service or transaction fees.

Ranch Route is not responsible for:

• Payment processor failures
• Banking errors
• Chargebacks initiated by financial institutions

Certain products sold through the Platform may be perishable and require proper storage and handling.

You acknowledge and agree that risk of loss and title transfer to Buyer upon delivery to the carrier or upon delivery to Buyer, depending on the Producer's stated shipping terms. Temperature fluctuations during transit may occur. Immediate refrigeration or freezing may be required upon delivery.

Ranch Route is not responsible for:

• Shipping or carrier delays
• Damaged shipments
• Temperature exposure or spoilage
• Improper storage after delivery or post-delivery handling

4.1 Assumption of Risk

Buyer acknowledges that agricultural products may contain naturally occurring bacteria, pathogens, allergens, or contaminants despite compliance with applicable safety standards. Buyer assumes all risks associated with the purchase, storage, preparation, and consumption of such products.

You represent and warrant that:

• You are legally permitted to purchase the products ordered
• You will comply with all applicable food storage and handling requirements
• You will not resell products in violation of applicable law
• You will provide accurate shipping and payment information

Buyers may submit reviews, ratings, feedback, images, or other content through the Platform ("User Content"). By submitting User Content, you grant Ranch Route a perpetual, irrevocable, worldwide, royalty-free, transferable license to use, reproduce, modify, publish, distribute, display, and create derivative works from such User Content in connection with operating, promoting, and improving the Platform.

You represent and warrant that:

• You own or have the necessary rights to submit the User Content
• The User Content does not violate any third-party rights
• The User Content does not contain unlawful, defamatory, or misleading material

Ranch Route reserves the right, but not the obligation, to remove or moderate User Content at its sole discretion.

Refund and return policies are established by each Producer. Unless Ranch Route is expressly identified as the seller of record, refund claims must be directed to the applicable Producer.

Ranch Route may establish minimum refund and return standards applicable to Producers and may, in its discretion, issue refunds to Buyers and deduct corresponding amounts from Producer disbursements.

Ranch Route may, at its sole discretion and without prior notice, suspend, restrict, disable, remove, or terminate your account or access to the Platform at any time and for any reason, including but not limited to:

• Violation of these Buyer Terms
• Suspected fraud or unlawful activity
• Excessive chargebacks or payment disputes
• Conduct creating risk to other users or reputational risk to Ranch Route

Upon suspension, orders may be canceled, access may be revoked immediately, and refunds may be withheld pending investigation. Ranch Route shall not be liable for any damages resulting from suspension or termination.

Ranch Route does not guarantee that the Platform will be available at all times or that access will be uninterrupted, secure, or error-free. The Platform may be temporarily unavailable due to maintenance, updates, technical issues, third-party service failures, or events outside Ranch Route's control.

Ranch Route reserves the right to modify, suspend, or discontinue any aspect of the Platform at any time without notice and shall not be liable for any losses resulting from Platform downtime, errors, or service interruptions.

The Platform and all products listed by Producers are provided "AS IS" and "AS AVAILABLE."

To the fullest extent permitted by law, Ranch Route disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Ranch Route makes no warranties regarding products sold by Producers.

To the fullest extent permitted by law, Ranch Route shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including but not limited to:

• Loss of profits or revenue
• Business interruption
• Personal injury claims arising from products sold by Producers
• Food safety or contamination claims
• Regulatory enforcement actions

Ranch Route's total liability shall not exceed the greater of: (a) $100; or (b) the amount paid by Buyer to Ranch Route in connection with the transaction giving rise to the claim.

You acknowledge that Ranch Route acts solely as a technology intermediary and that these limitations are an essential basis of the agreement between you and Ranch Route.

Please read this section carefully. It requires individual arbitration and waives class and mass action rights.

Agreement to Arbitrate: Any dispute arising out of or relating to these Buyer Terms, use of the Platform, or products purchased through the Platform shall be resolved exclusively through final and binding individual arbitration governed by the Federal Arbitration Act. Arbitration shall be conducted on an individual basis only.

Procedure: Arbitration shall be administered by the American Arbitration Association (AAA) under its applicable rules. A single arbitrator shall preside in the county of Ranch Route's principal place of business.

Class & Mass Action Waiver: You waive any right to participate in class actions, representative actions, consolidated claims, or mass arbitration proceedings.

Jury Trial Waiver: You waive the right to a jury trial.

Opt-Out: You may opt out within 30 days by written notice to harrison.vrtis@ranchroute.com.

This section survives termination.

By creating an account or using the Platform, you consent to receive communications from Ranch Route electronically, including through email, text message, platform notifications, or other electronic means. These communications may include order confirmations, receipts, account notifications, legal disclosures, and updates to these Buyer Terms.

You agree that electronic communications satisfy any legal requirement that such communications be provided in writing. You are responsible for maintaining a valid email address.

Buyer agrees to indemnify, defend, and hold harmless Ranch Route, its officers, directors, employees, agents, and affiliates from and against any claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys' fees) arising from:

• Buyer's misuse of products purchased through the Platform
• Buyer's violation of these Buyer Terms
• Buyer's violation of applicable laws
• Buyer's resale or redistribution of products in violation of law
• Buyer's improper storage, preparation, or handling of products
